Shareholders and Accounts

Just checked on Companies House website. EW is still registered as holding 51% of the shares. Anyone who bought a £250 share has not been registered as a shareholder, so leagally they do not own any shares. The accounts for the year ended 31st May 2009 should have been lodged by 28th February 2010 and have not been, they are now noted as being 'overdue'. The club will now start to incur fines for late submission of the accounts. The longer they are overdue the greater the fine will be.

Yes. Anybody can check.

Today is only the 3rd working day since 28th Feb, I'd be suprised if Companies House were that quick at updating the systems, do they ?

I wouldn't get to stressed at the moment. It took them about three weeks to update my Registered Address.

Oh dear. I know that it can take several weeks for the people in Cardiff to process paperwork relating to accounts, returns, change of directorships and shareholdings but the supposed documents relating to the transfer of shares and registration of new shares should have been cleared well by now...what is going on? Come in, Ilyas!

It was stated at the last Shareholder Meeting that it was the belief/understanding that David O,Neill was the major shareholder of A.S.F.C. It was also stated that accountants - Pierces?? - had been tasked to trawl through the merky waters, that were in fact the Stanley accounts!! Ilyas stated that when and only when this had been done, that the correct course of action - whatever that be - would be taken! Ilyas said at the time, that it could/would take months, so it is my opinion, that until this course of action has be taken we must just sit tight and trust in the people that have done nothing but good for our club in recent times!! If it is good enough for Ilyas and Peter Marsden, then it is good enough for me!!

OK...I accept the stuff about the books. It may well be that the accountants are still going through them in order to determin a reasonably clear picture of Stanley's trading position and balance sheet up until the end of the last financial year - and even then, they may well be qualify the accounts (something to be avoided).

However, the matter of the Annual Return and Change of Directors and Shareholdings is an entirely seperate matter and is recorded and submitted with completely different paperwork; it is this - based on our prior understandings - which should have been placed long ago at Companies House - and which should now be transparently available to view within the public domain.

I trust Ilyas implicitly so the issue of the accounts doesn't bother me, there will be good reason why that is not ticked off.

However the shares are a different kettle of fish and should have been sorted long ago. Many people put up a lot of money for a worthless piece of paper and poorly framed shirt, they will start to question whether everything is above board if it is not properly finalised.

Not everyone got a worthless piece of paper and a poorly framed shirt. I for one will wear my shirt with pride - after all it will only be good for 2 seasons at most, when we will probably have a change of strip. I know others who wear there's too. Also the 10 tickets to watch Stanley to be used whenever aren't exactly worthless, at present , at least £150 if you sit in the main stand!
The share, well the value is exactly what it is worth to the holder to have a piece of Stanley, whether it is worthless or not matters not to me.

On the other hand, I agree completely with the point made about the books and Ilyas and Peter Marsden.

good afternoon tealeaf and others.

i can fully understand why, when seen from the outside, things are confusing. I therefore want to just take two ticks to confirm and reiterate what i have said before - there is nothing that is off limits for questions on this bulletin board as long as the question is posed with the usual decorum,. and comments are not personalised. For my part i will aim to address all questions, and if i dont know the answer I will try to find out. If you feel awkward on the bulletin board then PM or email me. [email protected]

On the accounts i think i already mentioned somewhere that we have literally just appointed Pierces and both the ye 08 and 09 accounts are now being reviewed. Please bear with us - the accounting systems from the past are not exactly upto standard, and with a professional and top class firm now involved, i think that being late is better than being inaccurate.

i dont know the final timing but i suspect soon after easter. pl dont hold me to that but i am fairly relaxed
